SBA has provided updated franchise forms

SBA Policy Note 5000-1941 which outlines temporary changes in the franchise review process for both 7(a) and 504 loans, announced that SBA now will accept either of the following "as sufficient to establish that a franchisee is not “affiliated” with a franchisor: (1) the revised SBA Addendum to Franchise Agreement; or (2) a Certification ... together with the franchisor’s SBA negotiated addendum (ed. SBA Form 2463)." SBA has supplied the updated SBA Form 2462 with a drop-down selection tool to accurately title the form for each specific case (that is, select: Franchise, License, Distributor, Membership, Jobber, Other), as well as written instructions on how to complete the Form 2462.  [PLEASE Note: The SBA Form 2463 will become a fillable form once it is published to -- it is always best to download SBA forms directly from]

It is important to recall that with the publication of Policy Notice 5000-1941, although SBA is temporarily offering two options for establishing that there is no affiliation between franchisor and franchisee, all other changes to the franchise review process effective on 1/1/2017 remain in place. Therefore:

  • NO SBA-sanctioned Franchise Registry. (The new temporary option outlined in Notice 5000-1941 is not a return to the former Registry process.)
  • NO FRUNS numbers – SBA has its own unique numeric identification system
  • Lender must identify the specific franchise of the applicant using E-Tran / SBAOne
  • If business relationship meets Federal Trade Commission (FTC) definition of “franchise” – there are now TWO options for establishing no affiliation between franchisor and franchisee

McMahon Confirmed to Lead Small Business Administration

Feb. 14, 2017 – The Senate cleared pro wrestling magnate Linda McMahon to lead the SBA. McMahon, the World Wrestling Entertainment co-founder and former CEO, found bipartisan support was approved by an 81-19 vote. She needed a simple majority vote to be confirmed.

Majority Leader Mitch McConnell (R-Ky.) praised McMahon ahead of the vote, predicting that she would be able to use her background to help bolster small businesses. 
“McMahon, who built a small company from the ground up, understands the many challenges small businesses can face,” he said. “She certainly come a long way from sharing a desk with her husband and leasing a typewriter.”  The Hill article >
